Host Agreement

PARTIES
This Host Services Agreement ("Agreement") is entered into by and between:
Rudraleela Private Limited, a company incorporated and registered under the Companies Act, 2013, having its registered office at H NO-107 KUMHIYA PATTI, PRATAPGARH, UTTAR PRADESH - 230135, operating the technology platform "ROMANCHA" (hereinafter referred to as "ROMANCHA" or the "Platform")AND
The individual or entity registering as a Host on the Platform (hereinafter referred to as "Host" or "you" or "your")
(ROMANCHA and Host collectively referred to as the "Parties" and individually as a "Party")
RECITALS
WHEREAS:A. ROMANCHA operates an online platform for discovering, booking, and experiencing authentic Indian homestays and experiences;
B. The Host desires to list their Accommodation(s) and/or Experience(s) on the Platform for booking by Guests;
C. The Parties wish to enter into this Agreement to govern the terms and conditions of their relationship.
NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:1. DEFINITIONS
In this Agreement, unless the context otherwise requires:
"Average Daily Rate (ADR)" means the total Listing Price (excluding GST) divided by the number of nights in the Booking. "Booking" means a confirmed reservation made by a Guest through the Platform for an Accommodation or Experience. "Booking Value" means the total amount charged to the Guest for a Booking, inclusive of all taxes. "Checkout Date" means the date and time of the Guest's departure as specified in the Booking. "Experience" means any activity, tour, workshop, class, or service hosted by Host and listed on the Platform. "Escrow Period" means the period commencing at Guest payment and ending at payout initiation (Checkout Date plus 24 hours, or as otherwise specified herein). "Guest" means any person who makes a Booking through the Platform. "Host Payout" means the amount disbursed to the Host's registered bank account after applicable statutory deductions (TCS and/or TDS). "Listing" means the Host's published offering on the Platform, including descriptions, photographs, pricing, availability, and terms. "Listing Price" means the nightly rate established by the Host for the Accommodation, excluding GST and any other taxes. "Payment Gateway" means Razorpay or such other payment service provider as ROMANCHA designates from time to time. "Total Booking Amount" means the complete amount charged to the Guest, comprising the Listing Price multiplied by the number of nights plus any applicable GST calculated on the entire booking subtotal.2. PLATFORM INTERMEDIARY STATUS
2.1 Technology Platform
ROMANCHA operates as an online technology platform and marketplace facilitator and as an e-commerce operator (ECO) as defined under Section 2(45) of the Central Goods and Services Tax Act, 2017. ROMANCHA:
(a) Provides technology infrastructure connecting Hosts with potential Guests;
(b) Does not own, operate, manage, or control any Accommodation or Experience;
(c) Collects payment from Guests on behalf of Hosts as part of its marketplace payment model;
(d) Does not provide hospitality, travel agency, or accommodation services.
2.2 Independent Contractor
- 2.1 The Host is an independent contractor and not an employee, agent, joint venturer, or partner of ROMANCHA. Nothing in this Agreement shall be construed to create an employment or agency relationship.
- 2.2 The Host has no authority to bind ROMANCHA to any contract, commitment, or obligation without prior written consent.
- 2.3 The Host is solely responsible for:
- Hiring and managing any staff or service providers;
- Compliance with employment and labor laws;
- Insurance and liability coverage for their operations.
2.3 Platform Services
- 3.1 ROMANCHA shall provide the Host with access to the Platform to:
- Receive and manage Booking requests;
- Communicate with Guests;
- Access analytics and reporting tools;
- Utilize verification features.
- 3.2 ROMANCHA reserves the right to modify, suspend, or discontinue any Platform features at any time.
3. HOST OBLIGATIONS
3.1 Legal Requirements
The Host represents, warrants, and covenants that:
- 1.1 Ownership and Authorization: The Host has the legal right to offer the Accommodation or Experience, whether as owner, lessee, licensee, or authorized representative. The Host has obtained all necessary consents from:
- Housing societies or resident welfare associations;
- Co-owners or joint owners;
- Lessors (if applicable).
- 1.2 Permits and Licenses: The Host holds all necessary permits, licenses, and registrations required by law, including but not limited to:
- Fire safety certificate (where required);
- Food license (if providing meals);
- Tourism registration (if required by state);
- Any other local permits.
- 1.3 Legal Compliance: The Host shall comply with all applicable laws, including but not limited to:
- State Police Verification requirements;
- Fire safety regulations;
- Building codes and zoning laws;
- Consumer protection laws;
- Anti-discrimination laws.
- 1.4 Foreigner Reporting: For foreign national Guests, the Host shall:
- Report check-in details to local police within required timeframes;
- Maintain records as required by law.
3.2 Listing Standards
- 2.1 The Host shall ensure that all Listings:
- Display current and representative photographs;
- State true availability and pricing;
- Describe amenities honestly;
- Disclose any restrictions, limitations, or risks.
- 2.2 The Host shall promptly update Listings to reflect any changes.
- 2.3 The Host shall not:
- Use photographs that do not accurately represent your property or misleading images from other sources;
- Advertise amenities that are not available;
- Manipulate reviews or ratings.
3.3 Guest Relations
- 3.1 The Host shall:
- Communicate professionally and courteously;
- Provide the Accommodation as described in the Listing;
- Ensure the Accommodation is clean, safe, and habitable;
- Be available for Guest check-in and check-out;
- Address Guest concerns promptly and reasonably.
- 3.2 The Host shall honour all confirmed Bookings except in cases of genuine emergency or force majeure. Cancellation by Host may result in penalties as set forth in this Agreement.
3.4 Safety and Standards
- 4.1 The Host shall maintain the Accommodation in a safe and habitable condition, including:
- Functioning utilities (water, electricity, sanitation);
- Working locks on doors and windows;
- Fire safety equipment (fire extinguisher, smoke detector where required);
- First-aid kit availability;
- Emergency exit information.
- 4.2 The Host shall disclose any known hazards or risks in the Listing.
4. HOST VERIFICATION REQUIREMENTS
4.1 Host Identity Verification (Video Verification)
Before listing properties on the Platform, Hosts must complete identity verification:
(a) Video Verification Process: Host must complete a live video verification process where:
- A live video of your face is recorded;
- Government-issued ID (Aadhaar, PAN, Passport, Voter ID, or Driving License) is captured;
- Facial comparison is performed against ID document;
- Verification is recorded for compliance purposes.
(b) Data Handling: Video Verification recordings are:
- Stored securely in India for 5 years per PMLA requirements;
- Used solely for identity verification purposes;
- Protected by encryption and access controls.
(c) Verification Failure: Failure to complete verification or submission of false documents may result in:
- Account suspension pending resolution;
- Listing removal;
- Permanent ban for fraud attempts;
- Reporting to law enforcement where legally required.
4.2 Property Verification Process
All properties must undergo verification before being listed:
(a) Video Walkthrough: Host must submit a video walkthrough of the property demonstrating:
- Interior spaces matching listing description;
- Amenities as advertised;
- Safety features and exits;
- Exterior and access points.
(b) Geofencing Establishment: During property verification:
- GPS coordinates of the property are captured;
- A geofence boundary is established around the property;
- This location data is used for Guest check-in verification.
(c) Location Lock: IMPORTANT: Once property verification is approved:
- The property's GPS coordinates are permanently locked;
- Host cannot modify latitude/longitude after approval;
- Any attempt to change location will be rejected;
- This ensures integrity of the check-in geofencing system;
- If you need to correct an error in location, contact Support with documentation.
4.3 Guest Check-in Verification System
ROMANCHA provides a geofencing-based check-in verification system. Host understands and agrees:
(a) Purpose: The check-in system creates an evidentiary record of Guest identity and location during check-in, enhancing security for both parties.
(b) Technology Limitations: GPS technology has inherent limitations:
- Location accuracy typically varies ±50-200 meters;
- Accuracy affected by device, network, and environmental factors;
- Indoor locations may have reduced accuracy;
- The system provides verification assistance, not guarantee.
(c) Host Discretion: Despite verification results:
- Host retains sole discretion to admit or deny Guests;
- A successful geofence verification does not obligate Host to admit Guest;
- A failed geofence verification does not obligate Host to deny Guest;
- Host may manually verify Guest identity and location.
(d) No Guarantee: ROMANCHA's verification system:
- Assists with security but does not guarantee Guest identity or conduct;
- Does not replace Host's own judgment and verification;
- Does not make ROMANCHA liable for Guest actions.
5. PAYMENT MODEL
5.1 Zero Commission Platform
ROMANCHA operates as a zero-commission technology platform.ROMANCHA does not charge any:
- Platform commission;
- Service fee;
- Booking fee;
- Payment handling fee;
- Any other fee to Hosts.
The Listing Price set by the Host is the amount the Host receives, subject only to statutory tax deductions described in Section 6.
5.2 Payment Collection by ROMANCHA
- 2.1 ROMANCHA collects the Total Booking Amount (Listing Price multiplied by nights plus applicable GST) from Guests through its Payment Gateway.
- 2.2 Guest payments are received into ROMANCHA's payment gateway account before being disbursed to the Host.
- 2.3 ROMANCHA holds the Host's payout until the Guest's Checkout Date, as recorded in the confirmed Booking.
- 2.4 Within 24 hours of the Checkout Date, ROMANCHA initiates the Host Payout to the Host's registered bank account.
5.3 Payout Calculation
The Host Payout is calculated as follows:

5.4 Long-Stay Bookings (28 Nights or More)
For Bookings of 28 continuous nights or more:
- 4.1 ROMANCHA may, at its discretion, initiate an interim milestone payout after 14 verified nights of continuous stay.
- 4.2 The milestone payout amount shall be proportional to the nights elapsed, less applicable TCS/TDS.
- 4.3 Final settlement of the remaining balance is initiated within 24 hours of the Checkout Date.
- 4.4 Detailed terms for long-stay payout schedules will be communicated to Hosts at time of booking confirmation.
5.5 Hosts Without Bank Details
If a Host has not provided complete and valid bank account details (account number and IFSC code):
- ROMANCHA will hold the payout and notify the Host by email and in-app notification;
- Payouts are released within 2 business days of verified bank details being provided;
- ROMANCHA does not pay interest on held amounts.
5.6 Refund Processing
- 6.1 ROMANCHA processes refunds to Guests in accordance with the Cancellation Policy and the Rebooking & Refund Policy.
- 6.2 Where a refund requires reversal of a Host Payout already initiated, ROMANCHA may recover the refunded amount from the Host's future payouts.
- 6.3 The timeline for Guest refunds is 5–10 business days depending on the Guest's bank or payment method.
5.7 Payment Gateway
- 7.1 All payments are processed through Razorpay or such other Payment Gateway as ROMANCHA may designate.
- 7.2 Payment gateway processing fees are borne entirely by ROMANCHA. Hosts are not charged any payment gateway fees.
5.8 No Interest on Held Amounts
ROMANCHA does not pay interest to Hosts on amounts held between Guest payment and Host Payout initiation.
6. HOST TAXES
6.1 GST on Accommodation
Goods and Services Tax (GST) applies to accommodation services in India. The applicable rate is determined by the Average Daily Rate (ADR) of the Booking:

GST is calculated on the Listing Price (nightly rate × number of nights). No cleaning fee is included in the GST base.
ROMANCHA will update applicable rates as revised by the GST Council.
6.2 GST Registration Thresholds
GST registration is required when the Host's annual aggregate turnover from all sources exceeds:
- ₹20,00,000 (Twenty Lakhs) — applicable to most states;
- ₹10,00,000 (Ten Lakhs) — applicable to special category states: Arunachal Pradesh, Assam, Manipur, Meghalaya, Mizoram, Nagaland, Sikkim, Tripura, Himachal Pradesh, and Uttarakhand.
6.3 GST for Unregistered Hosts
For Hosts whose annual turnover does not exceed the applicable threshold and who are not registered under GST:
- 3.1 ROMANCHA collects GST from the Guest as part of the Total Booking Amount.
- 3.2 ROMANCHA remits the GST to the government under Section 9(5) of the CGST Act, 2017 on the Host's behalf.
- 3.3 The Host is not required to collect, remit, or file GST returns for bookings made through the Platform.
- 3.4 Tax Collected at Source (TCS) under Section 52 of the CGST Act does not apply to these transactions.
- 3.5 GST amounts are not deducted from the Host's payout.
6.4 GST for Registered Hosts
For Hosts who are registered under GST and have provided a valid GSTIN to ROMANCHA:
- 4.1 ROMANCHA passes the GST amount to the Host as part of the Host Payout.
- 4.2 The Host is responsible for remitting GST to the applicable tax authority and filing their own GST returns.
- 4.3 ROMANCHA deducts Tax Collected at Source (TCS) at 1% total (0.5% CGST + 0.5% SGST) under Section 52 of the CGST Act and deposits it against the Host's GSTIN.
- 4.4 The Host may claim this TCS as a credit in their GST portal (electronic cash ledger).
6.5 Income Tax TDS (Section 194-O)
- 5.1 Under Section 194-O of the Income Tax Act, 1961, ROMANCHA (as an e-commerce operator) is required to deduct Tax Deducted at Source (TDS) on payouts to Hosts.
- 5.2 The applicable TDS rate:

- 5.3 TDS applies only on payouts to Hosts whose total payouts through the Platform exceed ₹5,00,000 in a financial year. Hosts below this threshold are not subject to TDS.
- 5.4 ROMANCHA deducts TDS at source and deposits it with the Income Tax Department against the Host's PAN.
- 5.5 ROMANCHA issues Form 16A (TDS certificate) quarterly, available for download from the Host's dashboard. The Host uses Form 16A to claim TDS credit when filing their Income Tax Return (ITR).
- 5.6 TDS is not a fee charged by ROMANCHA. It is an advance payment of the Host's own income tax liability, fully creditable against the Host's annual income tax assessment.
6.6 Tax Documentation
ROMANCHA will make the following documents available to Hosts through the Host dashboard:
- Monthly payout statements (itemized): Listing Price, GST collected, TCS deducted (if applicable), TDS deducted (if applicable), Net Payout;
- Form 16A (quarterly TDS certificate, where applicable);
- GSTR-8 reconciliation data (for GST-registered Hosts, for their own GST return filing).
6.7 Host's Own Tax Obligations
- 7.1 The Host is solely responsible for:
- Remitting GST and filing GST returns (where applicable as a registered Host);
- Declaring all earnings from the Platform in their annual Income Tax Return;
- Complying with all other applicable tax laws.
- 7.2 ROMANCHA does not provide tax advice. Hosts are strongly encouraged to consult a qualified Chartered Accountant for questions about their specific tax obligations.
7. BOOKING MANAGEMENT
7.1 Booking Confirmation
- 1.1 Host may set bookings to:
- Request to Book: Requires Host approval within 24 hours.
- 1.2 Once confirmed, Bookings are binding on the Host subject to the applicable cancellation policy.
7.2 Host Cancellation
- 2.1 Host cancellations seriously impact Guest experience and Platform reputation. Host shall avoid cancellations except in genuine emergencies.
- 2.2 Consequences of Host Cancellation:

- 2.3 Guest-side scenarios (no Host penalty):

- 2.4 Exceptions for Host cancellation penalty may be granted for:
- Death or serious illness (Host or immediate family);
- Property damage making Accommodation unsafe;
- Government-mandated restrictions;
- Other force majeure events (with documentation).
7.3 Calendar Management
- 3.1 Host shall maintain accurate availability calendars.
- 3.2 Blocking dates after receiving a Booking request to avoid confirmation may be treated as a cancellation.
8. REVIEWS AND RATINGS
8.1 Review System
- 1.1 Guests may leave reviews and ratings after each Booking.
- 1.2 Reviews are displayed publicly on Host Listings.
- 1.3 ROMANCHA does not edit or filter reviews except:
- Personal attacks or discriminatory content;
- False claims (with investigation);
- Content unrelated to the stay.
8.2 Minimum Standards
- 2.1 Hosts are expected to maintain:
- Response rate of 90% or higher;
- Cancellation rate below 2%.
- 2.2 Failure to meet standards may result in:
- Removal from featured sections;
- Account review or suspension.
9. DAMAGES AND DISPUTES
9.1 Platform Role
ROMANCHA operates as a technology platform facilitating connections between Hosts and Guests. ROMANCHA is not responsible for and disclaims all liability with respect to damages, disputes, or claims arising between Host and Guest.

9.2 Damage Resolution
Any claim for damage to the Accommodation, its contents, fixtures, or furnishings shall be resolved directly between the Host and the Guest. The determination of:
(i) Whether damage has occurred;
(ii) The nature, extent, and cause of such damage;
(iii) The party responsible for such damage;
(iv) The quantum of compensation, if any;
shall be made exclusively by the Host and Guest.
9.3 No Platform Intervention
ROMANCHA shall not:- Mediate, arbitrate, or adjudicate damage claims;
- Collect, hold, or disburse security deposits;
- Make determinations regarding fault, liability, or compensation;
- Intervene in or be party to any dispute regarding property damage.
9.4 Host Insurance
ROMANCHA strongly recommends that Hosts obtain appropriate insurance coverage, including:
- Property insurance;
- Public liability insurance;
- Professional indemnity insurance;
- Business interruption insurance.
10. INTELLECTUAL PROPERTY
10.1 Host Content
- 1.1 Host retains ownership of photographs, descriptions, and other content submitted to the Platform ("Host Content").
- 1.2 Host grants ROMANCHA a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, display, and distribute Host Content for:
- Marketing and advertising;
- Social media and promotional campaigns.
- 1.3 Host represents and warrants that:
- Content does not infringe any third-party rights;
- Host has obtained all necessary model/property releases.
10.2 Platform IP
- 2.1 All ROMANCHA trademarks, logos, designs, and software remain the exclusive property of ROMANCHA.
- 2.2 Host shall not use ROMANCHA's intellectual property without prior written consent, except as reasonably necessary for promoting their Listings (e.g., "Listed on ROMANCHA").
11. LIABILITY AND INDEMNIFICATION
11.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROMANCHA SHALL NOT BE LIABLE FOR:- Indirect, incidental, consequential, special, or punitive damages;
- Loss of profits, revenue, data, or business opportunity;
- Actions or omissions of Guests;
- Force majeure events;
- Any amount exceeding Indian Rupees One Thousand (₹1,000).
This limitation applies regardless of the legal theory.
11.2 Host Indemnity
The Host agrees to indemnify, defend, and hold harmless ROMANCHA, its officers, directors, employees, agents, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Host's breach of this Agreement;
- Host's violation of any law, rule, or regulation;
- Host's infringement of intellectual property or other rights;
- Guest injuries, claims, or disputes arising from Host's Accommodation or Experience;
- Host's tax obligations or failure to comply with tax laws;
- Claims by third parties arising from Host's hosting activities;
- False or misleading information provided by Host;
- Host's interaction with Guests.
12. DATA PROTECTION
12.1 Guest Information
- 1.1 ROMANCHA shares Guest information with Hosts for purposes of fulfilling Bookings.
- 1.2 Host shall:
- Protect Guest information from unauthorized access;
- Not disclose Guest information to unauthorized third parties;
- Comply with applicable data protection laws;
- Delete Guest information upon request or as required by law.
12.2 Privacy Policy
This Agreement is subject to and incorporates ROMANCHA's Privacy Policy.
13. TERM AND TERMINATION
13.1 Term
This Agreement commences upon Host's acceptance and continues until terminated by either Party.
13.2 Termination by Host
- 2.1 Host may terminate this Agreement at any time by:
- Providing written notice to host-support@romancha.in.
- 2.2 Host must fulfill all confirmed Bookings prior to termination.
13.3 Termination by ROMANCHA
- 3.1 ROMANCHA may terminate or suspend Host's account immediately for:
- Repeated policy violations;
- Fraudulent or illegal activity;
- Consistently poor reviews (average below 3.5);
- Pattern of cancellations;
- Failure to respond to verification requests;
- At ROMANCHA's sole discretion.
- 3.2 ROMANCHA may provide written notice of termination without cause with 30 days' notice.
13.4 Effect of Termination
Upon termination:
- Host's Listings will be removed from the Platform;
- Host's access to Guest information will be revoked;
- Provisions intended to survive termination shall remain in effect.
14. DISPUTE RESOLUTION
14.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India.
14.2 Informal Resolution
Before initiating formal dispute resolution, Parties agree to attempt good-faith negotiation for 30 days.
14.3 Arbitration
- 3.1 Any dispute arising from this Agreement shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.
- 3.2 Arbitration shall be:
- Held in Prayagraj, India;
- Conducted in English;
- Final and binding on both Parties.
14.4 Injunctive Relief
Nothing prevents either Party from seeking interim injunctive relief from a court of competent jurisdiction.
15. GENERAL PROVISIONS
15.1 Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, and any other policies referenced herein, constitutes the entire agreement between the Parties.
15.2 Amendment
ROMANCHA may amend this Agreement with 30 days' notice. Continued use after the notice period constitutes acceptance.
15.3 Severability
If any provision is held invalid, it shall be modified to the minimum extent necessary, and remaining provisions shall continue in effect.
15.4 Waiver
No waiver of any provision shall constitute a continuing waiver.
15.5 Assignment
Host may not assign this Agreement without ROMANCHA's written consent. ROMANCHA may assign its rights to any affiliate or successor.
15.6 Notices
Notices to ROMANCHA: host-support@romancha.in
Notices to Host: Email address registered with the account.
15.7 Survival
Sections relating to indemnification, limitation of liability, intellectual property, data protection, and dispute resolution shall survive termination.
16. ACKNOWLEDGEMENT AND ACCEPTANCE
By clicking "I Agree" or by creating a Host Listing on the Platform, the Host acknowledges that:
- The Host has read and understood all terms of this Agreement;
- The Host voluntarily agrees to be bound by these terms;
- The Host understands the marketplace payment model where ROMANCHA charges no platform fees, collects Guest payments including applicable GST through its Payment Gateway, holds funds until Guest checkout, and initiates the Host Payout (Listing Price minus applicable TCS/TDS where applicable) within 24 hours of the Checkout Date;
- The Host is solely responsible for tax compliance, including GST registration if applicable;
