RUDRALEELA PRIVATE LIMITED Operating the ROMANCHA Technology PlatformEffective Date: April 25, 2026 Version: 1.0
PREAMBLE
ROMANCHA is a technology platform operated by Rudraleela Private Limited, a company incorporated and registered under the Companies Act, 2013 in India.These Terms of Service ("Terms", "Agreement") are a binding legal agreement between you ("User", "you", "your") and Rudraleela Private Limited, having its registered office at H NO-107 KUMHIYA PATTI, PRATAPGARH, UTTAR PRADESH - 230135 ("ROMANCHA", "Company", "we", "us", "our"), governing your use of the ROMANCHA platform, including our website (romancha.in), mobile applications, and related services (collectively, the "Platform" or "Services").
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
In this Agreement, unless the context otherwise requires:
"Accommodation" means any property, homestay, guest house, villa, apartment, or other lodging listed on the Platform by a Host for booking by Guests. "Booking" means a confirmed reservation for an Accommodation or Experience made through the Platform by a Guest. "Content" means any text, graphics, images, photographs, videos, audio, data, information, or other materials uploaded, submitted, or displayed on the Platform. "Experience" means any activity, tour, workshop, or service offered by a Host through the Platform. "Guest" means any User who books or intends to book an Accommodation or Experience through the Platform. "Host" means any User who lists an Accommodation or Experience on the Platform for booking by Guests. "Listing" means the description, photographs, pricing, availability, and other information about an Accommodation or Experience published on the Platform by a Host. "Payment Gateway" means the regulated third-party payment processor (e.g., Zoho Payments, Razorpay, or equivalent) used by Hosts to collect Guest payments directly in the Host's name and merchant identification. "Service Tax" or "GST" means the Goods and Services Tax as applicable under the laws of India.1.2 Interpretation
- Words importing the singular include the plural and vice versa.
- References to any statute or statutory provision include any subordinate legislation made under it and any subsequent amendment or re-enactment.
- Headings are for convenience only and shall not affect interpretation.
2. PLATFORM INTERMEDIARY STATUS
2.1 Nature of the Platform
ROMANCHA operates exclusively as an online technology platform and marketplace facilitator that enables independent Hosts and Guests to connect for the purpose of arranging Accommodation and Experience bookings.
2.2 ROMANCHA is Not:
(a) A contracting party to any agreement between Host and Guest;
(b) A real estate broker, hotel operator, travel agency, or hospitality provider;
(c) A payment aggregator, payment facilitator, or financial intermediary;
(d) An employer, principal, or agent of any Host or Guest;
(e) Liable for the acts, omissions, conduct, performance, safety, quality, legality, or suitability of any Host, Guest, Accommodation, or Experience.
2.3 Direct Contracting
All transactions facilitated through the Platform are directly between the Host and the Guest. ROMANCHA's role is limited to providing the technological platform for connection and discovery. We do not own, operate, manage, or control any Accommodation or Experience.
2.4 No Endorsement
We do not endorse or warrant the existence, conduct, performance, safety, quality, legality, or suitability of any Guest, Host, Accommodation, Experience, or Listing.The inclusion of any Listing on the Platform does not constitute an endorsement, recommendation, or guarantee by ROMANCHA. Users must conduct their own due diligence.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Eligibility Requirements
To use the Platform, you must:
(a) Be at least eighteen (18) years of age or the legal age of majority in your jurisdiction;
(b) Be capable of entering into a legally binding contract under the Indian Contract Act, 1872;
(c) Not be a person barred from receiving services under the laws of India or any other applicable jurisdiction;
(d) Provide accurate, current, and complete information during registration and maintain the accuracy of such information;
(e) Comply with all applicable laws, rules, and regulations.
3.2 Account Creation
- 2.1 You must create an account to access certain features of the Platform. You are solely responsible for:
- All activities that occur under your account;
- Immediately notifying us of any unauthorized access or security breach.
- 2.2 You shall not:
- Share your account credentials with any third party;
- Use another User's account without authorization;
- Create accounts using false or misleading information.
3.3 Identity Verification
- 3.1 We may require verification of your identity through Know Your Customer ("KYC") procedures, which may include but not be limited to:
- Address verification documents;
- Biometric verification;
- Video verification.
- 3.2 Information collected during KYC shall be processed in accordance with our Privacy Policy and applicable data protection laws.
- 3.3 Failure to complete verification may result in restricted access to Platform features or termination of your account.
4. IDENTITY VERIFICATION SERVICES
4.1 Platform Verification Tools
ROMANCHA provides the following identity and location verification technologies as facilitative tools to enhance trust and security between Users:
(a) Video Verification: Live facial verification against government-issued identification documents during check-in;
(b) Geofencing Verification: GPS-based location verification confirming Guest presence at the property location during check-in (accuracy typically varies ±50-200 meters depending on device, network, and environment);
(c) Property Geofencing: GPS coordinate capture establishing property location boundaries.
4.2 Nature and Purpose of Verification
These verification services are provided to:
- Create an evidentiary record of Guest identity and presence;
- Assist Hosts in making informed decisions regarding property access;
- Provide both parties with documented verification in case of dispute.
4.3 DISCLAIMER OF VERIFICATION WARRANTY
ROMANCHA DOES NOT WARRANT, REPRESENT, OR GUARANTEE THAT:(i) Verification technologies will function without error, interruption, or technical limitation in all circumstances;
(ii) Verification results indicate authenticity, character, creditworthiness, background, legal status, or suitability of any User for any purpose;
(iii) Successful verification constitutes an endorsement, recommendation, or guarantee by ROMANCHA regarding any User;
(iv) Any verification result—whether successful, failed, or incomplete—imposes any obligation upon either Host or Guest to proceed with or decline any booking or property access.
Any reference to a User being "verified" indicates only that the User has completed the relevant verification process and nothing else.4.4 Technical Limitations
GPS/location verification accuracy typically varies ±50-200 meters depending on:
- Device hardware, software, and settings;
- Network connectivity (WiFi, cellular, GPS satellites);
- Environmental factors (building density, weather, indoor/outdoor location);
- Property size and boundary configuration.
Verification technologies have inherent limitations and should not be relied upon as the sole basis for property access decisions.
4.5 User Discretion and Responsibility
Hosts retain sole and absolute discretion regarding:- Whether to grant or deny property access to any Guest;
- Whether to rely upon, supplement, or disregard verification results;
- Independent verification of Guest identity upon arrival.
- Completing verification processes accurately and honestly;
- Ensuring device compatibility and functionality;
- Physical presence at the property during check-in verification.
4.6 Fraudulent Use
Notwithstanding the foregoing, any fraudulent, falsified, or manipulated verification attempt constitutes a material breach of these Terms and may result in:
- Immediate, permanent account termination;
- Reporting to law enforcement authorities;
- Civil and/or criminal legal action.
Examples of fraud include but are not limited to:
- Submitting false or altered identity documents;
- GPS spoofing or location manipulation;
- Completing verification from incorrect location;
- Using another person's identity;
- Any circumvention of verification systems.
4.7 Data Handling
All verification data is:
- Stored securely in India in compliance with data localization requirements;
- Retained per PMLA and applicable legal requirements;
- Protected by encryption and access controls;
- Used solely for verification, fraud prevention, and legal compliance.
5. PAYMENT PROCESSING AND SETTLEMENT
5.1 Merchant of Record
For all bookings made through the Platform, the Host is the Merchant of Record. This means:
(a) All Guest payments are collected in the Host's name, under the Host's merchant identification (MID) established with their payment gateway provider;
(b) The contractual relationship for payment processing exists between the Host and their payment gateway provider;
(c) Settlement of funds occurs directly from the payment gateway to the Host's designated bank account.
5.2 ROMANCHA's Non-Involvement in Payments
ROMANCHA operates as a zero-commission, zero-fee technology platform. ROMANCHA:(i) Does not collect, receive, hold, pool, or have access to any Guest payment;
(ii) Does not deduct, withhold, or retain any portion of any booking amount;
(iii) Does not act as a payment aggregator, facilitator, or intermediary;
(iv) Does not process refunds, chargebacks, or payment adjustments;
(v) Is not responsible for settlement timelines, payment failures, or gateway disputes.
5.3 Payment Gateway Terms
All payments are subject to the terms and conditions of the Host's payment gateway provider. Gateway charges including but not limited to MDR (Merchant Discount Rate), processing fees, settlement fees, and applicable taxes are:
(a) Deducted directly by the payment gateway from the Host's settlement;
(b) Governed by the agreement between the Host and their payment gateway provider;
(c) Not within the control or responsibility of ROMANCHA.
5.4 Payment Requirement
Full payment is required at the time of booking. Payment is processed directly by the Host's payment gateway provider.5.5 No Payment Liability
ROMANCHA is not liable for any payment processing issues, settlement delays, chargebacks, refund processing, or disputes arising from payment gateway operations.
6. HOST OBLIGATIONS
6.1 Listing Requirements
Hosts warrant and represent that:
(a) They have all necessary legal rights, permits, licenses, and authorizations to list and provide the Accommodation or Experience;
(b) All information in Listings is accurate, complete, current, and not misleading;
(c) The Accommodation complies with all applicable laws, building codes, safety regulations, and local ordinances;
(d) They have obtained all necessary consents from property owners, housing societies, or relevant authorities;
(e) The Listing does not violate any third-party rights.
6.2 Host Conduct
- 2.1 Hosts shall:
- Provide the Accommodation as described in the Listing;
- Maintain reasonable standards of cleanliness and safety;
- Be available and responsive to Guest communications;
- Comply with all applicable laws, including the Prevention of Money Laundering Act, 2002.
- 2.2 Hosts shall not:
- Engage in any unlawful, fraudulent, or deceptive conduct;
- Impose additional charges not disclosed in the Listing;
- Share Guest personal information with unauthorized third parties.
6.3 Tax Obligations
- 3.1 Hosts are solely responsible for determining and fulfilling their tax obligations, including but not limited to:
- Collection and remittance of GST on accommodation services;
- Filing of GST returns;
- Income tax obligations;
- Any other applicable taxes, levies, or duties.
- 3.2 ROMANCHA provides earning statements for informational purposes only and does not provide tax advice. Hosts should consult qualified tax professionals.
7. GUEST OBLIGATIONS
7.1 Booking Obligations
Guests warrant and represent that:
(a) They will use the Accommodation only for lawful purposes;
(b) They will comply with the Host's house rules and any reasonable instructions;
(c) They will not exceed the maximum occupancy stated in the Listing;
(d) They will treat the Accommodation and its contents with reasonable care;
(e) They will vacate the Accommodation by the specified check-out time.
7.2 Guest Conduct
- 2.1 Guests shall not:
- Engage in illegal activities on the premises;
- Cause disturbance to neighbours or the community;
- Damage property or furnishings;
- Misrepresent the purpose of their stay;
- Bring pets without prior authorization;
- Host events, parties, or gatherings without explicit consent.
8. LIABILITY AND DAMAGE PROVISIONS
8.1 Platform Non-Liability for On-Site Matters
ROMANCHA operates solely as a technology platform facilitating connections between Hosts and Guests. ROMANCHA is not responsible for and disclaims all liability with respect to:
(a) The condition, quality, safety, or habitability of any Accommodation;
(b) The accuracy, completeness, or truthfulness of any Listing information;
(c) The conduct, performance, actions, or omissions of any Host, Guest, or third party;
(d) Any damage to property, fixtures, furnishings, or personal belongings;
(e) Any personal injury, illness, or harm occurring at or relating to any Accommodation;
(f) Any dispute arising from the use or non-use of any Accommodation;
(g) Any service quality, hospitality, or experience delivery matters.
8.2 Damage Claims Between Host and Guest
Any claim for damage to the Accommodation, its contents, fixtures, or furnishings shall be resolved directly between the Host and the Guest. The determination of:
(i) Whether damage has occurred;
(ii) The nature, extent, and cause of such damage;
(iii) The party responsible for such damage;
(iv) The quantum of compensation, if any;
shall be made exclusively by the Host and Guest, or by such third-party dispute resolution mechanism as they may independently agree upon.
ROMANCHA shall not:- Mediate, arbitrate, or adjudicate damage claims;
- Collect, hold, or disburse security deposits;
- Make determinations regarding fault, liability, or compensation;
- Intervene in or be party to any dispute regarding property damage.
8.3 Assumption of Risk
By using the Platform, you acknowledge and agree that:
(a) ROMANCHA does not screen, vet, inspect, or evaluate the physical condition, safety, or suitability of any Accommodation;
(b) You assume all risk associated with your booking, stay, or interaction with any other User;
(c) You are solely responsible for conducting your own due diligence regarding any Accommodation or Host;
(d) Your use of the Platform and any resulting booking is at your sole risk.
9. CANCELLATION POLICIES
9.1 Platform Standard Cancellation Terms
ROMANCHA applies a uniform platform-wide cancellation policy to ensure consistency and equitable treatment for all Users.

| Two (2) to five (5) days before scheduled check-in | 50% of booking amount |
| Less than forty-eight (48) hours before scheduled check-in | No refund |
If a Host cancels a confirmed booking at any time, the Guest shall be entitled to a full refund of all amounts paid.
Guest No-Show:If a Guest fails to arrive at the Accommodation without prior cancellation, the Host shall be entitled to retain the full booking amount.
9.2 Refund Processing
All refunds are processed by the Host's payment gateway provider and are subject to:
(a) The payment gateway's standard processing timelines;
(b) Bank processing and settlement procedures;
(c) The terms and conditions of the applicable payment gateway.
ROMANCHA does not control, guarantee, or bear responsibility for refund processing timelines or procedures.
9.3 Post Check-in Matters
Any matters arising after Guest check-in, including but not limited to early departure, dissatisfaction with Accommodation, service complaints, or requests for partial refunds, are matters to be resolved directly between the Host and Guest. ROMANCHA is not party to and shall not intervene in any such matters.
9.4 Extenuating Circumstances
- 4.1 ROMANCHA may, in its sole discretion, consider refunds or adjustments in cases of:
- Government-mandated travel restrictions or evacuations;
- Serious illness or death of User or immediate family member (with documentation);
- Property damage rendering the Accommodation uninhabitable.
- 4.2 Claims under extenuating circumstances require supporting documentation and are evaluated on a case-by-case basis. ROMANCHA's determination shall be final.
10. INTELLECTUAL PROPERTY
10.1 Platform IP
- 1.1 The Platform, including its design, code, features, trademarks, logos, and trade names, are the exclusive property of ROMANCHA or its licensors.
- 1.2 No right, title, or interest in any intellectual property is transferred by these Terms.
10.2 User Content
- 2.1 Users retain ownership of Content they submit to the Platform.
- 2.2 By submitting Content, you grant ROMANCHA a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content for the purpose of operating and promoting the Platform.
- 2.3 You represent and warrant that:
- The Content does not infringe any intellectual property or other rights;
- The Content does not contain any defamatory, obscene, or unlawful material.
11. DISCLAIMER OF WARRANTIES
11.1 "AS IS" Basis
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.11.2 No Warranty
TO THE FULLEST EXTENT PERMITTED BY LAW, ROMANCHA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
(b) WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
(c) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT;
(d) WARRANTIES REGARDING THE CONDUCT, PERFORMANCE, SAFETY, QUALITY, LEGALITY, OR SUITABILITY OF ANY HOST, GUEST, ACCOMMODATION, OR EXPERIENCE.
12. LIMITATION OF LIABILITY
12.1 Exclusion of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROMANCHA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:(a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
(b) ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS;
(c) ANY DAMAGES ARISING FROM:
- YOUR USE OR INABILITY TO USE THE PLATFORM;
- ANY TRANSACTION BETWEEN YOU AND A HOST OR GUEST;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
- ANY THIRD-PARTY CONDUCT OR CONTENT ON THE PLATFORM;
- ANY ACT OR OMISSION OF ANY HOST, GUEST, OR THIRD PARTY;
- ANY RELIANCE UPON VERIFICATION RESULTS OR PLATFORM FEATURES;
- TECHNICAL FAILURES, SERVICE INTERRUPTIONS, OR INACCURATE INFORMATION.
12.2 Aggregate Liability Cap
IN NO EVENT SHALL ROMANCHA'S AGGREGATE LIABILITY for any claim arising out of or relating to these Terms, your use of the Platform, or any booking exceed the greater of:(a) The amount of fees, if any, paid by you to ROMANCHA in the twelve (12) months preceding the event giving rise to the claim; or
(b) Indian Rupees One Thousand (₹1,000).
12.3 Basis of the Bargain
THE LIMITATIONS SET FORTH IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND ROMANCHA.
13. INDEMNIFICATION
13.1 User Indemnity
You agree to indemnify, defend, and hold harmless ROMANCHA, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) Your use of the Platform or Services;
(b) Your violation of these Terms or any applicable law;
(c) Your Content or Listings;
(d) Your interaction with any Host or Guest;
(e) Any dispute between you and a third party;
(f) Any claims related to your tax obligations;
(g) Any claims of infringement of intellectual property or other rights.
14. DISPUTE RESOLUTION
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
14.2 Informal Resolution
Before initiating any formal proceedings, you agree to first contact us at legal@romancha.in and attempt to resolve the dispute informally within thirty (30) days.
14.3 Arbitration
- 3.1 Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
- 3.2 The arbitration shall be:
- Held in Prayagraj, India;
- Conducted in English;
- Final and binding on both parties.
- 3.3 Nothing in this Section shall prevent either party from seeking interim relief from a court of competent jurisdiction.
14.4 Class Action Waiver
YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.15. TERMINATION
15.1 Termination by User
You may terminate your account at any time by:
- Using the account deletion feature on the Platform; or
- Sending a written request to support@romancha.in.
15.2 Termination by ROMANCHA
We may suspend or terminate your account, without notice or liability, for any reason, including but not limited to:
(a) Violation of these Terms;
(b) Fraudulent, illegal, or abusive conduct;
(c) Failure to complete identity verification;
(d) Non-payment of amounts owed;
(e) Inactivity for an extended period;
(f) Upon request from law enforcement or government authorities.
15.3 Effect of Termination
Upon termination:
- Your right to access the Platform ceases immediately;
- Pending bookings may be cancelled;
- Provisions intended to survive termination shall continue in effect.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ROMANCHA regarding the Platform.
16.2 Severability
If any provision of these Terms is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.
16.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Failure to enforce any right shall not constitute a waiver.
16.4 Assignment
You may not assign or transfer your rights under these Terms. ROMANCHA may assign its rights to any affiliate or successor.
16.5 Notices
Notices to ROMANCHA shall be sent to: legal@romancha.in
Notices to you shall be sent to the email address associated with your account.
16.6 Force Majeure
ROMANCHA shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or failures of third-party services.
16.7 Amendments
We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
